国资委颁布《境外资产监管办法》及《境外产权管理办法》

近(jin)日,国(guo)务院(yuan)国(guo)资(zi)委(wei)颁布了《中央企(qi)(qi)业境外国(guo)有资(zi)产(chan)(chan)监(jian)(jian)督管(guan)(guan)理暂(zan)行(xing)办(ban)法(fa)(fa)(fa)》(国(guo)资(zi)委(wei)令(ling)第26号(hao),以(yi)下简称(cheng)《境外资(zi)产(chan)(chan)监(jian)(jian)管(guan)(guan)办(ban)法(fa)(fa)(fa)》)和《中央企(qi)(qi)业境外国(guo)有产(chan)(chan)权(quan)管(guan)(guan)理暂(zan)行(xing)办(ban)法(fa)(fa)(fa)》(国(guo)资(zi)委(wei)令(ling)第27号(hao),以(yi)下简称(cheng)《境外产(chan)(chan)权(quan)管(guan)(guan)理办(ban)法(fa)(fa)(fa)》)。这两个重(zhong)要规章的(de)(de)出台,是国(guo)务院(yuan)国(guo)资(zi)委(wei)依(yi)法(fa)(fa)(fa)履行(xing)出资(zi)人职责、完善(shan)国(guo)有资(zi)产(chan)(chan)保值(zhi)增值(zhi)责任体系、加(jia)强(qiang)境外国(guo)有资(zi)产(chan)(chan)监(jian)(jian)管(guan)(guan)的(de)(de)一项重(zhong)要举(ju)措,对(dui)于(yu)推(tui)动中央企(qi)(qi)业认真落实做强(qiang)做优、培育具(ju)有国(guo)际(ji)竞(jing)争力的(de)(de)世(shi)界一流企(qi)(qi)业的(de)(de)目(mu)标要求,加(jia)快实施国(guo)际(ji)化经营战略(lve),具(ju)有十分重(zhong)要的(de)(de)意义(yi)。

  近几年来,中(zhong)(zhong)央企(qi)(qi)业(ye)(ye)境(jing)(jing)(jing)(jing)外(wai)经(jing)营(ying)(ying)规模(mo)迅速增长,境(jing)(jing)(jing)(jing)外(wai)经(jing)营(ying)(ying)领域(yu)逐步拓(tuo)展,境(jing)(jing)(jing)(jing)外(wai)经(jing)营(ying)(ying)方式和组织形式日趋复杂。许多中(zhong)(zhong)央企(qi)(qi)业(ye)(ye)在(zai)实(shi)(shi)施“走出去”战略的过程中(zhong)(zhong),重(zhong)视加强境(jing)(jing)(jing)(jing)外(wai)国(guo)(guo)(guo)有(you)(you)(you)资(zi)(zi)产(chan)(chan)(chan)(chan)监管(guan)(guan)(guan),创造了不少好做法(fa)、好经(jing)验,取(qu)得了显(xian)著成效。但应当看到,在(zai)中(zhong)(zhong)央企(qi)(qi)业(ye)(ye)境(jing)(jing)(jing)(jing)外(wai)国(guo)(guo)(guo)有(you)(you)(you)资(zi)(zi)产(chan)(chan)(chan)(chan)监管(guan)(guan)(guan)中(zhong)(zhong)仍然存在(zai)一些薄弱环节。有(you)(you)(you)的企(qi)(qi)业(ye)(ye)境(jing)(jing)(jing)(jing)外(wai)国(guo)(guo)(guo)有(you)(you)(you)资(zi)(zi)产(chan)(chan)(chan)(chan)管(guan)(guan)(guan)理制(zhi)度(du)尚不健全,内控机制(zhi)不完善,管(guan)(guan)(guan)理责任(ren)没(mei)有(you)(you)(you)落实(shi)(shi);有(you)(you)(you)的企(qi)(qi)业(ye)(ye)在(zai)境(jing)(jing)(jing)(jing)外(wai)资(zi)(zi)产(chan)(chan)(chan)(chan)运营(ying)(ying)中(zhong)(zhong)风险(xian)意识不强,重(zhong)投资(zi)(zi)、轻管(guan)(guan)(guan)理,可能影响企(qi)(qi)业(ye)(ye)境(jing)(jing)(jing)(jing)外(wai)国(guo)(guo)(guo)有(you)(you)(you)资(zi)(zi)产(chan)(chan)(chan)(chan)的安全。为进一步建立健全境(jing)(jing)(jing)(jing)外(wai)国(guo)(guo)(guo)有(you)(you)(you)资(zi)(zi)产(chan)(chan)(chan)(chan)监管(guan)(guan)(guan)制(zhi)度(du)规范(fan),切实(shi)(shi)加强中(zhong)(zhong)央企(qi)(qi)业(ye)(ye)境(jing)(jing)(jing)(jing)外(wai)国(guo)(guo)(guo)有(you)(you)(you)资(zi)(zi)产(chan)(chan)(chan)(chan)和产(chan)(chan)(chan)(chan)权(quan)监管(guan)(guan)(guan),维护境(jing)(jing)(jing)(jing)外(wai)国(guo)(guo)(guo)有(you)(you)(you)资(zi)(zi)产(chan)(chan)(chan)(chan)权(quan)益,更好地适应新形势的需要,国(guo)(guo)(guo)务院国(guo)(guo)(guo)资(zi)(zi)委依据《中(zhong)(zhong)华人民共和国(guo)(guo)(guo)企(qi)(qi)业(ye)(ye)国(guo)(guo)(guo)有(you)(you)(you)资(zi)(zi)产(chan)(chan)(chan)(chan)法(fa)》和《企(qi)(qi)业(ye)(ye)国(guo)(guo)(guo)有(you)(you)(you)资(zi)(zi)产(chan)(chan)(chan)(chan)监督管(guan)(guan)(guan)理暂行条例》等(deng)法(fa)律、行政法(fa)规,在(zai)认真(zhen)总结中(zhong)(zhong)央企(qi)(qi)业(ye)(ye)境(jing)(jing)(jing)(jing)外(wai)国(guo)(guo)(guo)有(you)(you)(you)资(zi)(zi)产(chan)(chan)(chan)(chan)监管(guan)(guan)(guan)经(jing)验的基(ji)础上,制(zhi)定了《境(jing)(jing)(jing)(jing)外(wai)资(zi)(zi)产(chan)(chan)(chan)(chan)监管(guan)(guan)(guan)办(ban)法(fa)》和《境(jing)(jing)(jing)(jing)外(wai)产(chan)(chan)(chan)(chan)权(quan)管(guan)(guan)(guan)理办(ban)法(fa)》。

  《境(jing)(jing)外(wai)(wai)(wai)资(zi)(zi)(zi)产(chan)(chan)(chan)监(jian)(jian)管办法》和《境(jing)(jing)外(wai)(wai)(wai)产(chan)(chan)(chan)权(quan)(quan)管理(li)(li)办法》立(li)足于国(guo)(guo)务(wu)院国(guo)(guo)资(zi)(zi)(zi)委的职能定(ding)(ding)位,结合(he)中(zhong)央(yang)企业(ye)境(jing)(jing)外(wai)(wai)(wai)国(guo)(guo)有(you)资(zi)(zi)(zi)产(chan)(chan)(chan)、产(chan)(chan)(chan)权(quan)(quan)管理(li)(li)的实际需要和有(you)关(guan)制度(du)建设(she)经验,对(dui)(dui)中(zhong)央(yang)企业(ye)境(jing)(jing)外(wai)(wai)(wai)国(guo)(guo)有(you)资(zi)(zi)(zi)产(chan)(chan)(chan)、产(chan)(chan)(chan)权(quan)(quan)管理(li)(li)做出了(le)较为具体的规(gui)(gui)范(fan)(fan)要求,是(shi)监(jian)(jian)管企业(ye)境(jing)(jing)外(wai)(wai)(wai)国(guo)(guo)有(you)资(zi)(zi)(zi)产(chan)(chan)(chan)、产(chan)(chan)(chan)权(quan)(quan)方面的重要探(tan)索和制度(du)创新(xin)。其中(zhong),《境(jing)(jing)外(wai)(wai)(wai)资(zi)(zi)(zi)产(chan)(chan)(chan)监(jian)(jian)管办法》坚(jian)持(chi)“落实管理(li)(li)责任、严控(kong)重大事项、规(gui)(gui)范(fan)(fan)特殊业(ye)务(wu)”的定(ding)(ding)位,既对(dui)(dui)中(zhong)央(yang)企业(ye)境(jing)(jing)外(wai)(wai)(wai)国(guo)(guo)有(you)资(zi)(zi)(zi)产(chan)(chan)(chan)监(jian)(jian)管制度(du)作(zuo)出较为完(wan)整的规(gui)(gui)定(ding)(ding),又对(dui)(dui)境(jing)(jing)外(wai)(wai)(wai)经营(ying)中(zhong)普遍存在(zai)且易引发国(guo)(guo)有(you)资(zi)(zi)(zi)产(chan)(chan)(chan)流(liu)失的个(ge)人代(dai)持(chi)股权(quan)(quan)、离岸公司(si)监(jian)(jian)管、外(wai)(wai)(wai)派(pai)人员薪酬等特殊业(ye)务(wu)提出了(le)规(gui)(gui)范(fan)(fan)要求。《境(jing)(jing)外(wai)(wai)(wai)产(chan)(chan)(chan)权(quan)(quan)管理(li)(li)办法》牢(lao)牢(lao)把握履行国(guo)(guo)有(you)资(zi)(zi)(zi)产(chan)(chan)(chan)出资(zi)(zi)(zi)人职责这一核心,坚(jian)持(chi)重规(gui)(gui)范(fan)(fan)、少审批的指导思想,强调产(chan)(chan)(chan)权(quan)(quan)归属(shu)原则(ze)与注(zhu)册地适(shi)用原则(ze)相结合(he),明(ming)确中(zhong)央(yang)企业(ye)是(shi)其境(jing)(jing)外(wai)(wai)(wai)国(guo)(guo)有(you)产(chan)(chan)(chan)权(quan)(quan)管理(li)(li)的责任主体,并在(zai)具体规(gui)(gui)范(fan)(fan)中(zhong)予以(yi)体现(xian),填补了(le)境(jing)(jing)外(wai)(wai)(wai)国(guo)(guo)有(you)产(chan)(chan)(chan)权(quan)(quan)管理(li)(li)制度(du)的空白。

  《境(jing)(jing)外(wai)(wai)(wai)(wai)资(zi)产(chan)(chan)监(jian)(jian)管办法(fa)》共七(qi)章四十条,主要内容包(bao)括:明(ming)(ming)确(que)了国资(zi)委、中(zhong)央(yang)企业(ye)对(dui)境(jing)(jing)外(wai)(wai)(wai)(wai)国有资(zi)产(chan)(chan)的监(jian)(jian)督管理(li)职责;提出(chu)了中(zhong)央(yang)企业(ye)境(jing)(jing)外(wai)(wai)(wai)(wai)投(tou)资(zi)及后续(xu)管理(li)过程(cheng)中(zhong)各个(ge)(ge)关键环节的管理(li)要求(qiu)(qiu);明(ming)(ming)确(que)了境(jing)(jing)外(wai)(wai)(wai)(wai)企业(ye)生产(chan)(chan)经营活动(dong)中(zhong)各项基础管理(li)工作的原则性要求(qiu)(qiu);规定了境(jing)(jing)外(wai)(wai)(wai)(wai)企业(ye)重要经营管理(li)事(shi)项的报告程(cheng)序、内容和(he)时(shi)限;从企业(ye)内部(bu)管理(li)和(he)外(wai)(wai)(wai)(wai)部(bu)监(jian)(jian)督两个(ge)(ge)层(ceng)面提出(chu)了境(jing)(jing)外(wai)(wai)(wai)(wai)国有资(zi)产(chan)(chan)监(jian)(jian)管工作内容和(he)要求(qiu)(qiu)。

  《境(jing)外(wai)(wai)(wai)产(chan)(chan)(chan)权(quan)(quan)(quan)(quan)管(guan)理(li)(li)办(ban)法》共二十条,主要内(nei)容包(bao)括:规(gui)范了(le)(le)境(jing)外(wai)(wai)(wai)国(guo)(guo)有产(chan)(chan)(chan)权(quan)(quan)(quan)(quan)登记和评估项目管(guan)理(li)(li),对境(jing)外(wai)(wai)(wai)企业(ye)产(chan)(chan)(chan)权(quan)(quan)(quan)(quan)转让(rang)等(deng)国(guo)(guo)有产(chan)(chan)(chan)权(quan)(quan)(quan)(quan)变动事项的审核权(quan)(quan)(quan)(quan)限、基(ji)本程序、转让(rang)价格(ge)、转让(rang)方(fang)式(shi)、对价支付等(deng)做出了(le)(le)具体规(gui)定,明确了(le)(le)红筹上市公司国(guo)(guo)有股权(quan)(quan)(quan)(quan)管(guan)理(li)(li)的基(ji)本原则,规(gui)范了(le)(le)个人(ren)代持境(jing)外(wai)(wai)(wai)国(guo)(guo)有产(chan)(chan)(chan)权(quan)(quan)(quan)(quan)、设立离岸公司等(deng)事项。《境(jing)外(wai)(wai)(wai)产(chan)(chan)(chan)权(quan)(quan)(quan)(quan)管(guan)理(li)(li)办(ban)法》要求中央(yang)企业(ye)落实境(jing)外(wai)(wai)(wai)国(guo)(guo)有产(chan)(chan)(chan)权(quan)(quan)(quan)(quan)管(guan)理(li)(li)工作责(ze)任,及时将本企业(ye)境(jing)外(wai)(wai)(wai)国(guo)(guo)有产(chan)(chan)(chan)权(quan)(quan)(quan)(quan)管(guan)理(li)(li)制度、负责(ze)机构等(deng)相关情(qing)(qing)况书面报告国(guo)(guo)资委。中央(yang)企业(ye)应当每年对子企业(ye)执(zhi)行该办(ban)法情(qing)(qing)况进行监(jian)督检(jian)查。国(guo)(guo)资委将对境(jing)外(wai)(wai)(wai)国(guo)(guo)有产(chan)(chan)(chan)权(quan)(quan)(quan)(quan)管(guan)理(li)(li)情(qing)(qing)况进行抽查。
